| This contest starts on Monday April 14, 2008 and ends on Sunday September 21, 2008 (Contest End Date). To be eligible for this contest, on-line and mail-in entries must be received on or before, 11:59 p.m. Eastern Standard Time on the contest end date. Incomplete or late entries will not be accepted. |
| This contest is open to: |
| a) Residents of the city of Ottawa, who have reached the age of majority. |
| Employees of Nutri-lawn Ottawa (herein called Nutri-Lawn) and their representatives, agents, advertising and promotional agencies, affiliated and related companies, and members of the immediate family (parents, children, siblings and spouse, regardless of where they live) and household of such employees; and its owners, affiliates, and members of their immediate families, are not eligible. |
| 3. HOW TO ENTER |
| Only one entry of any type whatsoever is permitted per residence. All multiple entries, mass entries or reproductions submitted are automatically disqualified. Existing multi-year Nutri-lawn customers are eligible for two contest entries. |

| Logging onto www.NutrilawnSmartCar.com and complete an online entry form in full and click "Enter Now" to submit your entry for receipt by contest closing date of 11:59 p.m. (PST) September 21, 2008. For purposes of these Official Rules and Regulations, "receipt" of an online entry occurs when Sponsor's servers record the entry information upon the entrant clicking the "Entry" button. Any automated computer receipt (such as one confirming delivery of email) does not constitute proof of actual receipt by Sponsor of an entry for purposes of these Official Rules and Regulations. In your entry, you will be asked to provide your first and last name, street address, city, province/state, postal/zip code, phone number and e-mail address. All mandatory fields must be completed. Nutri-Lawn (Sponsor) is not responsible for late, lost, misdirected, illegible or incomplete entries, which will be void. The use of any automated equipment to participate in this contest is prohibited. In the event of a dispute as to who submitted an entry, the entry will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, on-line service provider or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If a selected entrant's entry is an Internet entry, the selected entrant may be required to provide Nutri-Lawn with proof that the selected entrant is the authorized account holder of the e-mail address associated with the selected entry. Entrants are required to provide truthful and accurate information in all contest entries and Administrator will disqualify any entry that the Administrator determines, in its sole discretion, to be false or fraudulent. All Entry Data becomes the property of Administrator and will not be returned, or used for additional purposes unless otherwise stated. |

| By entering, you consent, should you become a winner, to Nutri-Lawn 's use, of your name, place of residence and photograph or other likeness, without further compensation or notice, for publicity, advertising or informational purposes in any media or format (including the Internet) in connection with this contest or future similar contests. All entries become the property of Nutri-Lawn and will not be returned to entrants. |
| 4. PRIZE: |
| Grand Prize |
| The prize winner will receive exclusive use of one 2008 Smart Car for one (1) year. The prize will be accepted with the following conditions: |
| 1. the Smart Car is available for one (1) year from the date of the final draw. |
| 2. a maximum of 24,000 KM can be driven in the year - a penalty of 16 cents per km for any mileage in excess of the 24,000 will be paid to Nutri-Lawn with the return of the vehicle. |
| 3. The winner is responsible for insurance coverage on the vehicle, and must be produced prior to use of the vehicle. Nutri-Lawn must be listed as additional insured with notification on the policy. |
| 4. The winner is responsible for all repair, maintenance and gas over and above the manufactures warrantee. |
| 5. The winner must return the vehicle in the same condition it was received and is responsible for repair over and above that condition. |
| 6. The winner agrees to have the decals 'I won this car in a contest by Nutri-Lawn' on 4 sides. |
| 7. The winner understands that the smart car has been used by Nutri-Lawn for marketing purposes from April to September 2008 and has the appropriate mileage. |
| 8. The winner understands that the one year starts no later than one week after the official final draw whether they have taken delivery or not. |
| 9. The winner must be licensed to drive in Ontario and is responsible for all fines or tickets that occur within the 12 month period. |
| Total prizes to be awarded is valued at $7200.00 CND including applicable tax |
| The odds of winning a prize depend on the total number of eligible entries received, including all paper and online entries by the contest closing date. |
| All expenses, taxes, surcharges and issuance or other fees not described as included in the Prize are the sole responsibility of the winner. Except as expressly warranted herein, the prizes are provided to winners "as is" without further warranty of any kind. |
| Prize must be accepted as awarded. NO SUBSTITUTION OF PRIZES IS PERMITTED EXCEPT BY SPONSOR IN ITS SOLE DISCRETION. | 5. SELECTION OF WINNERS |

| A random draw for the Grand Prize, by a Nutri-lawn representative, from all completed entry forms received by 11:59 p.m. on the contest closing date will be made on September 22, 2008 at Nutri-lawn's office at 1038 Belfast Road, Ottawa, Ontario, Canada K1B 3S3 |
| In order to win, the selected entrant must first correctly answer a time-limited skill-testing question to be administered by telephone and sign a standard declaration and release form confirming compliance with the contest rules and acceptance of the prize as awarded. The prize will be delivered to the winner. |
| All entries become the property of Nutri-Lawn. No correspondence will be entered into except with the selected entrant who will be notified by telephone. |
| Selected entrants will be contacted by the phone number indicated on the selected entrant's online entry form. a) If a selected entrant cannot be reached by October 01, 2008 or declines the prize, another entrant will be selected on or before October 3, 2008. |
| b) In the event that a selected entrant incorrectly answers the time-limited skill-testing question, another entrant will be selected on or before October 3, 2008. |
| c) Only one (1) entry per person/email address/household. |
| The chances of being selected depend upon the total number of correctly completed entries received through the contest website at www.NutrilawnSmartCar.com. |
| 6. GENERAL TERMS AND CONDITIONS |
| Entrants agree that their submission of an entry constitutes acceptance of and agreement to abide by the terms and conditions of these Official Rules and by all decisions of Nutri-Lawn, which are final in all matters pertaining to the contest. The contest is subject to all applicable federal, provincial and municipal laws. Return of any prize/prize notification as undeliverable may result in disqualification and selection of an alternate winner. By entering, participants release and hold harmless Nutri-Lawn, its affiliated and related companies and advertising, promotion agencies and all of their respective directors, officers, shareholders, employees, agents, successors and assigns (collectively, the "contest entities") from any and all liability for any injuries, loss or damage of any kind arising from or in connection with the contest or any prize won. Winners will be required to sign and return, within the time period indicated on the documents, a Declaration of Compliance with contest rules and a full Liability and publicity release and/or any other document which may be reasonably required by the Sponsor or the Administrator. |
| Nutri-Lawn reserves the right at its sole discretion to disqualify any individual from the contest and to ban the individual from any future contest of Nutri-lawn that it finds or believes to be tampering with the entry process or the operation of the contest or contest website; to be acting in violation of the Official Rules or in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER PERSON TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, NUTRI-LAWN RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. |
| 7. LIMITATIONS OF LIABILITY |
| Without limiting the release in Paragraph 6 above, and for greater certainty, the contest entities will not be liable for: a) any incorrect or inaccurate information, whether caused by contest website users or by any equipment or programming associated with or utilized in the contest or by any technical or human error which may occur in the processing of entries in the contest; b) any error, omission, interruption, deletion, defect or delay in operation of the contest website or any transmission in connection with the contest; c) any communications line failure, theft, destruction or unauthorized access to, or alteration of, entries; d) any problems with, or technical malfunction of, any telephone network or lines, computer on-line systems, servers or providers, computer equipment, software, or failure of e-mail which may occur for any reason whatsoever, including technical problems or traffic congestion on the Internet or at any website or combination thereof; or e) any injury or damage to participants' or to any other person's computer related to or resulting from participating or downloading materials in this contest. If the contest is not capable of running as planned for any reason, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the reasonable control of the contest entities which corrupt or affect the administration, security or proper conduct of this contest, Sponsor reserves the right at its sole discretion to, without advance notice, terminate or suspend the contest, in whole or in part, or modify it in any way. |
| 8. PRIVACY |
| By entering the contest, Entrant(s) agree to Nutri-Lawn's use of Entrant(s) personal information as described in Section 3 and 9 of these rules. |
| 9. WINNERS LIST |
| The name of the prize winners will be posted on Nutri-Lawn's website. Entrants by entering this contest, consent to use of their name, city of residence and/or photograph, without compensation, in any future publicity carried out by Sponsors in connection with this contest. |
| This contest is sponsored and administered by Nutri-Lawn (Sponsor). |
| This contest is VOID where prohibited or restricted by law. This contest is subject to these complete official rules. In the event that any dispute arises regarding the meaning or interpretation of these Rules, contestants agree that the dispute shall be resolved by applying the laws of Ontario, Canada and that it shall be resolved in and by the courts of that province. |
